1. Introduction
These Terms and Conditions govern your use of our website and the purchase of products from ITR Commercial Ltd. By placing an order with us, you agree to these Terms and Conditions. Please read them carefully.
2. Definitions
- “Customer” / “you” – the person or business purchasing from ITR Commercial Ltd.
- “Products” – bespoke workwear and related goods supplied by us.
- “Contract” – the agreement formed when we accept your order.
3. Eligibility
To place an order with us, you must:
- Be at least 18 years old.
- Provide accurate and complete information.
- Have the legal authority to enter into a contract.
4. Bespoke Workwear
Our products are bespoke and made to order based on your specifications. Please note:
- We do not sell “off-the-shelf” items.
- Once production begins, orders cannot be cancelled or refunded unless the products are faulty or mis described.
- Samples may be provided upon request to confirm design and material before full production.
5. Orders & Contract Formation
- Orders are confirmed once we send written acceptance (e.g. by email).
- Quotations are valid for 30 days unless otherwise stated.
- We reserve the right to refuse or cancel orders at our discretion.
6. Pricing & Payment
- All prices are in GBP (£) and inclusive of VAT (if applicable).
- Payment terms will be agreed upon before production begins (deposit/full payment).
- Payment can be made by bank transfer, credit/debit card, or approved third-party processors.
- We reserve the right to change prices but confirmed orders will not be affected.
7. Delivery
- Delivery times are estimates and will be confirmed when your order is accepted.
- We make every effort to deliver on time, but delays outside our control (e.g. couriers, supply chain issues) are not our liability.
- Risk passes to the customer upon delivery.
8. Returns & Refunds
Because our products are custom-made, your statutory right to cancel under the Consumer Contracts Regulations 2013 does not apply once production begins.
However:
- If your products are faulty, damaged, or not as described, you are entitled to a repair, replacement, or refund under the Consumer Rights Act 2015.
- You must notify us of any issue within 7 days of delivery.
- We may request photographic evidence or return of the item before resolving the matter.
9. Customer Responsibilities
By placing an order, you confirm that:
- All information and specifications provided (e.g. sizes, logos, colours) are accurate.
- You have the right to use any logos, branding, or artwork provided for customisation.
- You will check proofs and samples carefully before final approval.
10. Intellectual Property
- All intellectual property rights in our website, designs, and promotional materials remain with ITR Commercial Ltd.
- Customer logos, designs, and trademarks remain the property of the customer and will only be used for the purpose of fulfilling their order.
11. Liability
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any rights you have under UK law.
- We are not liable for indirect, incidental, or consequential losses (e.g. loss of profit, reputation, or opportunity).
- Our total liability is limited to the value of the order.
12. Privacy & Data Protection
We process personal data in line with our Privacy Policy, which complies with UK GDPR and the Data Protection Act 2018.
13. Force Majeure
We are not liable for delays or failure to perform due to circumstances beyond our control (e.g. strikes, natural disasters, supply chain issues).
14. Termination
We may cancel an order or suspend services if:
- Payment is not made.
- You breach these Terms.
- Fraudulent or unlawful activity is suspected.
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
